Terms of service

1. Definitions

• FactuurPro or ‘we’: [Company name], the provider of the service.
• Service: the online invoicing software FactuurPro, including the website, customer portal, email delivery and related features.
• User or ‘you’: the natural or legal person who creates an account and uses the service for business purposes.
• Account: the user’s personal environment within the service, including all data entered into it.
• Plan: the chosen level of use (free or paid) with its associated limits and features.

2. Applicability and business use

FactuurPro is intended exclusively for business use by entrepreneurs. By creating an account you confirm that you are acting in the course of a trade, business or profession.

Deviations from these terms apply only when agreed in writing. Any purchasing or other terms of the user do not apply.

3. Account and access

You are responsible for the accuracy of the details in your account and for keeping your login credentials confidential. Use a strong, unique password and report any suspected misuse immediately.

You may invite team members within the limits of your plan. Actions by team members are attributed to your account.

4. Plans, prices and payment

The free plan can be used indefinitely within the stated limits. Paid plans are billed in advance per month or per year and settled through our payment provider.

All prices exclude VAT. We may change prices; changes take effect at the next renewal period and are announced at least 30 days in advance.

If a payment fails, you will be notified and given the opportunity to complete it. If payment remains outstanding, we may revert your account to the free plan.

5. Term and cancellation

A monthly plan runs per calendar month and can be cancelled monthly. A yearly plan runs for twelve months and then converts to a monthly plan unless you cancel earlier.

You cancel yourself from within your account. After cancellation your plan remains active until the end of the paid period. Amounts already paid are not refunded unless the law provides otherwise.

6. Use of the service

You may use the service for your own administration. You may not:

• Use the service for unlawful purposes or for sending unsolicited messages (spam).
• Circumvent security, overload the service or retrieve data in an automated way without permission.
• Resell the service or make it available to third parties outside the team features of your plan.
• Infringe the rights of others, including sending invoices on behalf of others without authority.

7. Your responsibility for your records

FactuurPro helps you with calculations, numbering and VAT overviews, but you remain responsible for the accuracy and completeness of your invoices, the VAT rates you choose and compliance with your tax obligations.

The AI assistant makes suggestions based on the information you provide. Always review these suggestions before using them. FactuurPro does not provide tax, legal or financial advice.

8. Availability and maintenance

We aim for high availability but cannot guarantee uninterrupted operation. Where possible we announce planned maintenance in advance and prefer to carry it out outside office hours.

We may adapt the service and add, change or remove features. If we remove a feature that is essential to your paid plan, we will inform you in good time and you may cancel free of charge.

9. Data, privacy and data processing agreement

You remain the owner of the data you enter into FactuurPro. We use this data only to deliver the service, as described in our privacy policy.

For the personal data of your customers that you process in FactuurPro, we act as processor. This section serves as the data processing agreement: we process this data solely on your instructions, apply appropriate security measures, engage only sub-processors bound by comparable obligations, report data breaches without undue delay and delete or return the data after your account is terminated.

You can export your data at any time. After your account is deleted we retain data only insofar as a legal retention obligation applies.

10. Intellectual property

All rights to the service, the software, the design and the documentation belong to [Company name] or its licensors. You receive a non-exclusive, non-transferable right of use for the duration of your plan.

The documents you create with FactuurPro (invoices, quotes, exports) are yours.

11. Liability

Our liability for damage resulting from a failure to perform the agreement is limited to the amount you paid us in the twelve months preceding the event causing the damage, up to a maximum of [maximum amount].

We are not liable for indirect damage, such as lost profit, missed savings, loss of data due to causes beyond our control or damage caused by incorrect input. These limitations do not apply in the event of intent or deliberate recklessness on our part.

12. Suspension and termination by us

We may suspend or terminate your access if you breach these terms, if we suspect fraud or abuse, or if this is necessary to protect the security of the service or other users. Where reasonable we will warn you in advance and give you the opportunity to remedy the situation.

13. Changes to these terms

We may change these terms. Material changes are announced at least 30 days in advance by email or in your account. If you do not agree, you can cancel your plan before the effective date. By continuing to use the service you accept the changed terms.

14. Governing law and disputes

These terms are governed by Dutch law. We first try to resolve disputes amicably; if that fails, the competent court in the district of [place of business] has jurisdiction, unless mandatory law provides otherwise.
